Draft — counsel review before production

This page is a draft. It has not been reviewed by counsel and is not a binding policy until it has. Anything marked as a placeholder is deliberately not filled in.

These terms apply to FEATit, a service of Evoye GmbH, An der Allee 130, 55122 Mainz, Germany, Amtsgericht Mainz HRB 49115 (“Evoye”), for consumers (§ 13 BGB) and businesses (§ 14 BGB). Clauses marked “Businesses only” or “Consumers only” apply to that group alone. A business’s own terms do not apply. A FEATit deployment you run yourself is governed by the contract under which it is provided.

1. The service and the contract

FEATit is a cloud service for planning and verifying work with people and AI agents. Each plan’s features are on the pricing page. You must be at least 18, or have your legal guardian’s consent, and give true details. You are responsible for what the agents you connect do with the access you gave them. You may not use FEATit unlawfully or attack its security.

The contract for the free plan is concluded when you create your account, and for a paid plan when you press the order button, with a confirmation by email and these terms attached. You can correct your entries until you press the final button. The contract language is English, and these terms stay available here.

2. Plans and price

FEATit has a free plan and paid plans, billed monthly or yearly in advance, per core seat, through Stripe. Prices for consumers include VAT. Business prices exclude VAT, added at the statutory rate. You see the plan, price and billing period before ordering, and order with a button labelled ⟦placeholder: order-button-label⟧ (§ 312j(3) BGB).

3. Your content and personal data

Your content stays yours. You give Evoye the right to store, process and display it as needed to provide FEATit, and for nothing else. Evoye processes the personal data in your content on your behalf. A business customer gets a data processing agreement (Art. 28 GDPR) on request at info@evoye.com. Evoye’s own processing of personal data is in the privacy policy.

4. Term and termination

  • Free plan: you may end it at any time by deleting your account. We may end it with ⟦placeholder: provider-termination-notice⟧ notice.
  • Paid plans: renew by their billing period until cancelled, in the customer portal, with the cancellation button (⟦placeholder: cancellation-button⟧, § 312k BGB) or in text form, with effect at the end of the current period. We may end a paid plan at the end of a billing period with ⟦placeholder: provider-termination-notice⟧ notice. Consumers: after the first billing period, a plan that renews may be cancelled at any time with one month’s notice (§ 309 No. 9 BGB).
  • Either side may terminate for good cause without notice.
  • You can export your data at any time. Before the contract ends, export what you want to keep. Deletion follows the privacy policy.

5. Reports of illegal content

Anyone can report content they consider illegal by email to info@evoye.com (Art. 16 DSA). A report should contain:

  • Why you consider the content illegal.
  • Its exact location, such as the link to the item.
  • Your name and email address, unless the report concerns child sexual abuse (Art. 3 to 7 of Directive 2011/93/EU).
  • Your statement that, in good faith, you believe the report is accurate and complete.

If you give your email address, we confirm receipt and tell you our decision. Our contact point under Art. 11 and 12 DSA is the same address, in German or English. If we restrict an account or content, we tell the person the reasons and how to contest them (Art. 17 DSA).

6. Liability

  1. Evoye is liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act, under a guarantee, and for defects it concealed fraudulently.
  2. For slight negligence, Evoye is liable only for breach of an obligation that makes proper performance of the contract possible in the first place and on which you regularly rely, limited to the damage typical for the contract and foreseeable when it was concluded.
  3. Businesses only: in the case of paragraph 2, liability is limited to ⟦placeholder: b2b-liability-cap⟧ per contract year.
  4. Otherwise, liability is excluded. This does not affect mandatory statutory liability or claims under Art. 82 GDPR.

7. Information before you order (consumers)

Under Art. 246a EGBGB: the main characteristics of the service are on the pricing page. The seller is Evoye GmbH, with its address, telephone number and email in the imprint. The price is the total price including VAT, shown before you order, and payment is made through Stripe. The contract runs as § 2 and § 4 state. FEATit needs a browser or the FEATit apps, and works with the AI providers and services you connect. Consumers have the statutory warranty rights for digital products (§ 327 ff. BGB). Evoye is neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board (§ 36 VSBG).

8. Right of withdrawal

Consumers only, for paid plans. The free plan has no withdrawal right, because we process your data only to provide it (§ 312(1a) BGB).

⟦placeholder: withdrawal-notice⟧

⟦placeholder: withdrawal-form⟧

Immediate start. If you ask us at the order to start at once and confirm that you know your right lapses once we have provided the service in full (§ 356(4) BGB), and then withdraw after we have begun, you pay for the part provided up to then (§ 357a(2) BGB).

9. Law and venue

German law applies. A consumer keeps the protection of the mandatory law of the country where they habitually reside (Art. 6(2) Rome I Regulation). Businesses only: if you are a merchant, a legal person or a special fund under public law, the exclusive venue is Mainz, Germany.
